These Terms of Service ("Terms") govern your access to and use of PraxAlpha, including the website, the web application and related APIs (the "Service"), provided by CloudPrax("we", "us"). By using the Service you agree to these Terms.
1. Private beta and eligibility
- The Service is an invite-only private beta. Access is granted at our discretion and may be withdrawn at any time.
- You must be at least 18 years old, resident in India, and hold your own active Zerodha trading account that you are permitted to use with Kite Connect.
- Beta features may change, be limited or be removed without notice, and may contain defects.
2. What the Service is
PraxAlpha is software that executes trading rules you select and configure through your own broker account using the broker's authorised API. We do not hold your funds or securities, we are not a broker, and we do not provide investment advice, research or recommendations. All orders are placed in your name, on your instructions as expressed through your configuration.
3. Your account
- Keep your login credentials and two-factor authentication device secure. You are responsible for activity under your account.
- Provide accurate information and keep it up to date.
- Tell us promptly at support@praxalpha.com if you suspect unauthorised access.
4. Broker connection
You authorise the Service to place, modify and cancel orders and to read positions, orders, funds and related data in your connected broker account, as needed to operate the features you enable. Your relationship with Zerodha is governed by Zerodha's own terms. Broker charges, API fees, exchange fees and taxes are your responsibility.
5. Your responsibilities
- You are solely responsible for the strategies you enable, the settings and limits you choose, and every order placed in your account.
- You will monitor your account and be able to intervene directly with your broker.
- You will comply with all laws and regulations applicable to you, including SEBI, exchange and broker rules on algorithmic trading.
- You have read and accept the Risk Disclosure.
6. Acceptable use
You must not:
- share your account, or use the Service for anyone else's broker account;
- attempt to bypass rate limits, security controls or the risk engine;
- reverse engineer, scrape, overload or interfere with the Service;
- use the Service for market manipulation or any unlawful purpose.
7. No warranty
The Service is provided "as is" and "as available". We do not warrant that it will be uninterrupted, error-free, or that any order, limit, exit or square-off will execute at a particular time or price or at all. No returns, profits or outcomes are promised.
8. Limitation of liability
To the maximum extent permitted by law, CloudPrax is not liable for trading losses, lost profits, or indirect, incidental or consequential damages arising from use of the Service, including losses caused by software defects, outages, data errors, broker or exchange failures, or your configuration choices. Where liability cannot be excluded, it is limited to the fees you paid us for the Service in the three months before the claim (during the free beta, this may be zero).
9. Suspension and termination
You may stop using the Service and disconnect your broker at any time. We may suspend or end your access, including to protect you, other users or the Service. Termination does not affect orders already placed.
10. Changes
We may update these Terms. Material changes will be notified in the app or by email before they apply.
11. Governing law
These Terms are governed by the laws of India. Courts at [city to be confirmed] have exclusive jurisdiction.
